Terms governing the business-introducer commission payable on referred Enterprise pack sales.
Version 2026.14 · Effective 2026-10-22
This agreement governs the business-introducer commission payable to a holder of an active 10 Seconds affiliate link when that link refers the sale of an Enterprise pack. It is a distinct commission track from the three-level MLM Affiliate Program (see Affiliate Program Terms). This document is drafted to comply with applicable law in the United Arab Emirates, the European Union / EEA / United Kingdom, and the United States, and expressly excludes certain other legal classifications that could otherwise apply.
1. Parties and acceptance
This B2B Introducer Agreement (the "Agreement") is between Sterling and Pierce Holding L.L.C-FZ, Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates (the "Publisher"), and each holder of an active 10 Seconds affiliate link (the "Introducer") who refers an Enterprise purchase.
The Agreement takes effect automatically on the first Enterprise purchase registered through the Introducer's link, and continues until terminated under Section 15. Participation requires acceptance of the Affiliate Program Terms, the Terms of Service, the Acceptable Use Policy, the Privacy Policy, and this document, each at the version in force at acceptance.
2. Who qualifies as an Introducer
Any holder of an active 10 Seconds affiliate link whose link is used by an organisation (or an individual purchaser) at the moment of registration for an Enterprise pack (5, 10, 20, 50, 100, 500 or 1000 seats) qualifies as the sole direct Introducer for that Enterprise account. The Introducer's identity is recorded server-side at the moment of registration; subsequent changes are not permitted.
Enterprise accounts (master or sub-account) are not themselves eligible to act as Introducers. Clear Trail / Ghost Protocol account holders can be Introducers.
3. Independent-contractor status — critical legal classifications
The Introducer is an independent contractor, not an employee, agent, franchisee, joint-venturer, representative, or partner of the Publisher.
Specifically, and to the maximum extent permitted by applicable law in each relevant jurisdiction:
Not a commercial agent under EU Directive 86/653/EEC: the Introducer is not a commercial agent as defined in Council Directive 86/653/EEC of 18 December 1986 or its national implementations. The Introducer has no authority to negotiate or conclude contracts on the Publisher's behalf, no power of attorney, no exclusive territory, and no entitlement to the end-of-contract compensation or indemnity provided for by Articles 17 and 18 of that Directive or by equivalent national law. The parties expressly contract on the basis that the Directive does not apply.
Not a commercial agent under UAE Federal Law No. 3 of 2022 on the Regulation of Commercial Agencies: the Introducer is not a commercial agent, distributor, or franchisee as defined by that law, and this Agreement is not a commercial agency subject to registration with the UAE Ministry of Economy. The Introducer is not entitled to exclusivity, territorial protection, or the compensation regimes of UAE commercial-agency law.
Not an employee under US state law: the Introducer is not an employee, worker, or dependent contractor. The parties intend that the Introducer satisfies the applicable independent-contractor tests (including the "ABC" test under California Labor Code §2775 as amended and comparable state laws). The Introducer bears their own operating costs and risks.
Not a franchisee under US FTC Franchise Rule 16 CFR Part 436: this Agreement does not grant a trademark licence coupled with a mandated marketing system or significant control of the Introducer's operations, and does not require a franchise fee. It is not intended to be a franchise.
Not a business opportunity under US FTC Business Opportunity Rule 16 CFR Part 437: the Publisher does not promise a specific income, does not provide locations, outlets, accounts, or customers, and does not provide buy-back arrangements.
Not a worker under UK law: the Introducer is not a worker within the meaning of Section 230(3) Employment Rights Act 1996 or comparable UK legislation; the Introducer operates on their own account.
Any contrary characterisation by a court or administrative authority does not create rights that this Agreement does not expressly grant. The Introducer is solely responsible for their own tax, social-security, insurance, licensing, and professional obligations in their jurisdiction.
4. Publisher's non-responsibility for Affiliates' and Introducers' communications
Sterling and Pierce Holding L.L.C-FZ is NOT responsible, and shall not be held liable, for the acts, omissions, statements, representations, communications, publications, advertising, social-media posts, marketing materials, or any other conduct of Affiliates or Introducers.
Introducers and Affiliates are independent contractors acting on their own behalf and under their sole responsibility. Their communications are not communications of the Publisher. Their representations are not representations of the Publisher. Their advertising and marketing materials are not endorsed, approved, pre-cleared, controlled, or monitored by the Publisher unless expressly stated in writing by the Publisher.
Specifically, and without limitation:
Any statement made by an Introducer or Affiliate about 10 Seconds — including statements about security, encryption, anonymity, legal immunity, regulatory status, identity verification, lawfulness in a given jurisdiction, service features, pricing, uptime, Enterprise pack scope, service-level commitments, or earnings — is the Introducer's or Affiliate's own statement, made at their own risk and under their own legal responsibility.
Any unauthorised, false, misleading, exaggerated, or non-compliant representation made by an Introducer or Affiliate is disavowed by the Publisher. The Publisher reserves the right, at any time, to publicly correct, repudiate, or deny such representation without prior notice to the Introducer or Affiliate.
Any prospect, customer, Enterprise purchaser, decision-maker, or third-party recipient of a communication from an Introducer or Affiliate who relies on that communication in making a purchase, investment, legal, procurement, compliance, or operational decision does so at their own risk. The Publisher accepts no responsibility to such recipients for the content of such communications and provides no warranty, express or implied, as to their accuracy, completeness, or lawfulness.
Any side-letter, oral promise, custom quotation, discount, bundled service, exclusivity undertaking, SLA, data-residency commitment, feature roadmap, or integration offered by an Introducer that is not expressly confirmed in writing by the Publisher is null and unenforceable against the Publisher.
Any claim, loss, damage, regulatory action, administrative sanction, or litigation arising from an Introducer's or Affiliate's acts or communications is covered by the indemnification obligations in Section 17 of this Agreement and the equivalent provisions of the Affiliate Program Terms, and does not engage the Publisher's own liability.
The Publisher's own representations are those made in its own official communications: the pages of 10seconds.io operated by the Publisher, the published legal documents (Legal Notice, Terms of Service, Privacy Policy, Terms of Sale, AUP, Security Overview, KYC, Refund Policy, Law Enforcement Guidelines, Transparency Report, DPA, Cookies, Third-Party Licenses, Affiliate Program Terms, this Agreement), and written correspondence from contact@10seconds.io.
This non-responsibility clause operates to the maximum extent permitted by applicable law. It does not exclude:
The Publisher's own direct responsibility for its own acts and omissions;
Mandatory consumer-protection, data-protection, misleading-practice, and competition-law rights of third parties that cannot lawfully be excluded (notably EU Directive 2005/29/EC on unfair commercial practices in its application to the Publisher's own conduct, FTC Act §5 for the US, equivalent UAE and UK consumer-protection law);
Statutory remedies against the Publisher where applicable law expressly imposes vicarious or joint liability for an Introducer's or Affiliate's conduct, within the strict limits of such law.
The Introducer acknowledges and accepts this allocation of responsibility by participating in the programme.
5. Commission schedule
Commissions apply only to referred paid Enterprise pack 12-month subscriptions, net of VAT, in EUR, and are payable to the direct Introducer only (no Level 2 or Level 3 beneficiary on the B2B track).
Applicable commission rates and conditions are displayed in the Introducer's account dashboard at the moment of referred registration and at each renewal. Those dashboard-displayed rates and conditions constitute the binding commercial terms between the Publisher and the Introducer for the Enterprise account concerned, together with this Agreement.
Item
Terms
Beneficiaries
The direct Introducer only. No Level 2 or Level 3 commission on the B2B track.
Triggering events
(a) The initial paid Enterprise invoice; and (b) each subsequent paid renewal of the same Enterprise account, at the rates and conditions displayed in the dashboard at the moment of the renewal.
Sub-accounts
Sub-accounts created by the Enterprise master are not referred and generate no commission (neither MLM nor B2B). Only the master's paid invoice triggers the commission.
Chargebacks / refunds
If the Enterprise invoice is refunded (voluntarily, by statutory withdrawal, or by order) or charged back, the corresponding commission is cancelled retroactively. If already paid out, the amount is deducted from the next payout or invoiced back.
Rate changes
Rates and conditions displayed in the dashboard may be revised by the Publisher with 30-day prior written notice to active Introducers. Changes do not affect commissions already generated under the previously applicable terms.
Currency
All commissions are denominated and calculated in EUR, regardless of the Introducer's country of residence.
6. Separation from the MLM Affiliate Program
Enterprise sales do not generate MLM Level 2 or Level 3 commissions. The B2B and MLM commission systems are strictly separate and do not accumulate on the same invoice.
The Introducer's own account type (Clear Trail / Ghost Protocol personal) is unaffected by participation in this Agreement: they continue to earn standard MLM commissions on their personal Clear/Ghost referrals under the Affiliate Program Terms.
7. Earnings disclaimer — anti-pyramid safeguards
No income, profitability, or recurring earnings are guaranteed. The Publisher makes no representation about the amount an Introducer may earn. Actual earnings depend entirely on the quality, number, and durability of qualifying Enterprise sales the Introducer refers, and on factors outside the Publisher's control (market, Introducer's own effort, business cycle, refunds, etc.).
In accordance with the Koscot (FTC v. Koscot Interplanetary, 86 F.T.C. 1106) and BurnLounge (FTC v. BurnLounge, 753 F.3d 878) tests under US law, with EU Directive 2005/29/EC Annex I §14 (unfair commercial practices — pyramid promotion), and with equivalent anti-pyramid-scheme standards in the UAE and the UK:
Commissions under this Agreement are paid solely on the basis of genuine, qualifying Enterprise sales to end-user organisations.
Commissions are NEVER paid for the mere act of recruiting another Introducer or affiliate, or for the mere enrolment of another person into any programme.
The Publisher operates no recruitment-based remuneration, no entry fee for Introducers, no inventory loading, and no mandatory purchase requirement.
The Introducer must not represent or imply, in any communication, that participation in this programme is an investment, that income is guaranteed, that specific sums can be earned within a defined period, or that the programme provides passive income. Any earnings claim must be truthful, substantiated, and comply with FTC Guides Concerning Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) for the US, Article 7 of EU Directive 2005/29/EC (misleading commercial practices), DGCCRF rules for France, the UK CAP Code, and equivalent national rules. Any such claim is made under the Introducer's sole responsibility (see Section 4).
8. Prohibited practices
The Introducer must not, directly or indirectly:
Self-refer: use their own affiliate link to purchase an Enterprise pack. Server-side detection sets the introduced_by field to NULL and may result in forfeiture of the commission.
Spam: send unsolicited commercial email (CAN-SPAM Act 15 U.S.C. §7701 for the US, Directive 2002/58/EC (ePrivacy) for the EU, PECR for the UK, UAE Federal Decree-Law No. 34/2021 provisions on unsolicited electronic communications, equivalent rules elsewhere), SMS (TCPA 47 U.S.C. §227 for the US, equivalent EU/UAE), or messaging-platform solicitations that breach platform rules or applicable law.
Impersonate the Publisher, 10 Seconds, Sterling and Pierce, or any affiliated entity, including by creating look-alike domains, email addresses, or social-media handles.
Use bots, automated signup farms, click-fraud mechanisms, cookie stuffing, or incentivised downloads from untrusted sources.
Make misleading claims about security, encryption, anonymity, "untraceability", legal immunity, identity verification, regulatory certification, Enterprise SLAs, data-residency guarantees, or earnings. The Introducer must not represent that 10 Seconds confers immunity from lawful investigation.
Breach competition or marketing-advertising law applicable to them, including price-comparison, endorsement, and testimonial rules.
Fail to disclose the commercial relationship where disclosure is legally required: notably the FTC "material connection" requirement under 16 CFR §255.5, equivalent EU rules under Directive 2005/29/EC, UK CAP Code identification rules, and UAE equivalents.
Operate from, or on behalf of, a party or jurisdiction subject to applicable sanctions (OFAC Specially Designated Nationals list, EU Consolidated Financial Sanctions List, UN Security Council Consolidated Sanctions List, UAE Local Terrorist List and UN Consolidated List as transposed under Cabinet Resolution No. (74) of 2020, UK OFSI list), or evade such sanctions.
Approach another affiliate, Introducer, or Enterprise sub-account to switch away from their current association in exchange for a direct benefit (anti-poaching).
Register multiple Introducer accounts to artificially duplicate attributions or capture the Enterprise commission on an account they would not otherwise have introduced.
Breach of this Section may result in immediate termination of the Introducer relationship, forfeiture of pending commissions, clawback of already-paid commissions, public correction of misleading representations under Section 4, and legal action.
The Introducer represents, warrants, and covenants that they comply with, and will not cause the Publisher to breach, applicable anti-bribery, anti-corruption, anti-money-laundering, and sanctions laws, including without limitation:
US Foreign Corrupt Practices Act (15 U.S.C. §§ 78dd-1 et seq.);
UK Bribery Act 2010 and UK Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLR 2017);
UAE Federal Decree-Law No. 31 of 2021 (Crimes and Penalties) and related anti-bribery provisions;
UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism and Financing of Illegal Organisations, together with Cabinet Decision No. 10 of 2019 and implementing measures;
EU Directive 2015/849 (4AMLD) as amended by Directive 2018/843 (5AMLD) and Directive 2018/1673 (6AMLD), and Regulation (EU) 2024/1624 (AMLR) within applicable scope and timing;
OFAC, EU, UN, UAE, and UK (OFSI) sanctions regimes.
The Introducer must not offer, promise, or provide anything of value to any public official or private counterpart to improperly influence a decision affecting the Publisher's business. The Introducer must promptly notify the Publisher of any investigation, enquiry, or sanctions match concerning them or any of their marketing targets.
10. Intellectual property and brand use
The Publisher grants the Introducer a limited, non-exclusive, non-transferable, revocable licence to display the "10 Seconds" and "Sterling and Pierce" names and logos, solely to identify the Publisher's services in connection with the referral activity, in a manner that is accurate, non-misleading, and compliant with any brand guidelines the Publisher may issue in writing.
Any other use (modification of logos, derivative works, co-branding, resale, white-label, OEM, trademark registration in the Introducer's name) requires prior written authorisation. The licence terminates immediately upon termination of this Agreement or breach of its terms. All goodwill arising from use of the Publisher's marks accrues to the Publisher.
The Introducer must not purchase paid search or domain-name keywords consisting of the Publisher's trademarks (bidding on 10seconds, clear trail, ghost protocol, sterling and pierce on Google Ads, Bing Ads, or equivalent) without prior written authorisation.
11. Payouts and self-billing invoice
Item
Terms
Minimum withdrawal, payment methods, processing time, holding period
Displayed in the Introducer's account dashboard. Those dashboard-displayed terms are binding together with this Agreement.
Self-billing
A self-billing invoice is generated for each paid withdrawal and made available in the Introducer's dashboard. The Introducer agrees to this self-billing arrangement; it does not displace any mandatory invoicing obligation on the Introducer's side under their local tax law.
Set-off
The Publisher may set off against pending commissions any amount owed by the Introducer under this Agreement (clawback, chargeback adjustment, overpayment).
No custodial handling. Pending commissions are an accounting entry in the Introducer's dashboard, not funds held in a safeguarded or segregated client account. The Publisher does not act as a custodian, escrow agent, payment institution, electronic-money issuer, or Money Services Business. See the KYC & Identity Policy for the full non-financial-institution shield.
12. Taxes — Introducer's responsibility
Commissions are expressed exclusive of any tax owed by the Introducer. The Introducer is solely responsible for declaring, collecting, and remitting any income tax, VAT, GST, social-security contribution, or equivalent levy applicable to the commissions in their jurisdiction.
Jurisdiction-specific notes (illustrative, not exhaustive):
UAE Introducers: commissions constitute business income and may fall within UAE Corporate Tax (Federal Decree-Law No. 47 of 2022) if the Introducer's taxable income exceeds the applicable threshold. UAE VAT (currently 5%) may apply if the Introducer is VAT-registered and the services qualify as taxable supplies under Federal Decree-Law No. 8 of 2017 on Value Added Tax.
EU/UK Introducers acting as a business: cross-border services between businesses are generally subject to the reverse-charge VAT mechanism (Article 44 of Directive 2006/112/EC). The Introducer must provide a valid VAT number where applicable; otherwise the Publisher may treat the transaction accordingly.
EU Introducers acting as individuals (non-professional): commissions typically constitute occasional income subject to declaration in the Introducer's country of residence. Where recurrent and professional, VAT and other business tax obligations may apply.
French Introducers: micro-entrepreneurs must declare commissions under the applicable BIC or BNC regime; recurring commercial activity may require registration as auto-entrepreneur or société.
US Introducers: commissions are self-employment income. If the aggregate amount paid to a US-resident Introducer exceeds the applicable IRS reporting threshold in a calendar year, the Publisher may issue an IRS Form 1099-NEC; the Introducer must provide a valid W-9 on request. Non-US Introducers must provide a valid W-8BEN (individual) or W-8BEN-E (entity) on request.
In all cases: providing false tax information does not transfer any resulting liability to the Publisher.
13. Data protection
The Introducer does not receive, and must not seek to obtain, personal data of the referred Enterprise account's end users. The Introducer's dashboard discloses only commission events, invoice references, and aggregate statistics.
Where the Introducer independently collects personal data in the course of their marketing (prospect email addresses, phone numbers, decision-maker contacts, LinkedIn messages, etc.), the Introducer acts as data controller for that data and is solely responsible for compliance with the GDPR (EU/EEA/UK), UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection, applicable US state privacy laws (notably CCPA/CPRA, VCDPA, CPA, CTDPA, UCPA, TDPSA, OCPA), and equivalent rules in their jurisdiction. The Introducer must obtain any legally required consent, provide the required information under GDPR Art. 13-14, honour data subject rights, and respect opt-out requests.
The Publisher processes the Introducer's own data (name, contact, payout preferences, commission history, audit-log entries) for the purpose of administering this Agreement, as described in the Privacy Policy §5E and §8.
14. Confidentiality
Each party shall keep confidential any non-public information disclosed by the other in connection with this Agreement, including commission rates, dashboard analytics, product roadmap, Enterprise pricing proposals, and other commercial terms. Confidentiality survives termination for three years. The obligation does not apply to information: (a) already public other than through breach; (b) known to the receiving party before disclosure; (c) independently developed; or (d) required to be disclosed by law or binding legal process (with prompt notice to the other party where lawful).
15. Term and termination
The Introducer relationship for a given Enterprise account lasts for the life of that Enterprise account, subject to earlier termination as follows:
By either party for convenience: on 30 days' written notice (email to contact@10seconds.io is sufficient). Pending commissions in good standing (no fraud, chargeback, or policy breach) remain payable.
By the Publisher for cause (immediate effect): material breach of this Agreement, the AUP, applicable law, or the compliance warranties in Section 9; detected fraud or self-referral; false earnings, security, or Enterprise-feature claims; misleading claims about "untraceability" or legal immunity; sanctions concern; prolonged inactivity (12 months with zero commission events); or discontinuation of the referral programme.
Upon termination: the Introducer's licence to use the Publisher's marks (Section 10) ends immediately; pending commissions earned in good faith are payable; commissions tied to breach are forfeit and clawback applies to amounts already paid.
16. Audit and books
The Publisher may audit the Introducer's compliance with this Agreement (notably prohibited practices, earnings claims, FTC endorsement disclosure, data-protection compliance, sanctions screening) on reasonable prior notice. The Introducer shall keep accurate records of its marketing activities and advertising materials relating to 10 Seconds for 3 years and make them available for inspection on request.
Conversely, the Introducer may inspect, through the dashboard, the commission events attributable to their link. Disputes over commission calculations must be raised within 60 days of the invoice; thereafter, the amount is deemed accepted.
17. Representations, warranties, and indemnification
The Introducer represents and warrants that: (a) they have full power and authority to enter into this Agreement and are at least 18 years old; (b) their marketing activities comply with all applicable laws; (c) they are not the subject of any applicable sanctions; (d) no claim regarding 10 Seconds that they make is false, misleading, or unauthorised; (e) they have obtained all consents required for any personal data they process; (f) they disclose their material connection to the Publisher where legally required.
The Introducer shall indemnify, defend, and hold harmless the Publisher and its directors, officers, employees, and agents from and against any third-party claim, loss, liability, cost, or expense (including reasonable legal fees) arising out of or in connection with: (i) the Introducer's breach of this Agreement or applicable law; (ii) any false, misleading, or unauthorised representation about 10 Seconds, including Enterprise pack scope, SLA, or data-residency; (iii) any marketing communication, publication, side-letter, or oral promise issued by the Introducer; (iv) any personal data processed by the Introducer in breach of applicable law; (v) any claim by a prospect, customer, Enterprise purchaser, or third party relying on an Introducer's communication (reflecting the non-responsibility allocation in Section 4).
18. Limitation of liability
Except for the Introducer's indemnification obligations under Section 17, the Introducer's confidentiality obligations under Section 14, breach of Section 9 (compliance), and liability that cannot lawfully be excluded: each party's aggregate liability under this Agreement is limited to the greater of (a) the total commissions paid or payable to the Introducer in the 12 months preceding the event giving rise to the claim, or (b) €1 000. Neither party is liable for indirect or consequential losses to the extent such exclusion is enforceable.
These limitations do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, mandatory refund obligations, or liability that cannot lawfully be excluded or limited. They do not restrict the rights of third-party data subjects or the powers of regulators.
19. Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control (natural disasters, armed conflict, pandemic, infrastructure outage, government measure, binding legal process). The affected party shall promptly inform the other and resume performance as soon as reasonably practicable.
20. Assignment
The Introducer may not assign this Agreement, in whole or in part, without the Publisher's prior written consent. The Publisher may assign this Agreement to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its business, on notice to the Introducer.
21. Governing law and jurisdiction
This Agreement is governed by the laws of the United Arab Emirates, excluding its conflict-of-laws rules. This choice does not deprive a consumer or micro-entrepreneur Introducer of mandatory protections of their country or US state of residence where those protections apply.
All disputes shall first be addressed to contact@10seconds.io, which is the single point of contact for every matter arising out of this Agreement. The parties agree to attempt good-faith resolution before formal proceedings.
Where not resolved amicably, disputes shall be submitted to the competent courts of Dubai, without prejudice to mandatory jurisdiction rules applicable to a consumer or micro-business Introducer. This Agreement does not impose mandatory arbitration or a class-action waiver where such waiver is prohibited by applicable law.
22. Changes to this Agreement
The Publisher may update this Agreement with 30 days' prior written notice (dashboard notification and/or email). Continued activity after the effective date constitutes acceptance of the revised version for future commissions. Changes do not retroactively alter commissions already generated or amounts already payable, and do not override mandatory consumer protections.
23. General provisions
No partnership: this Agreement does not create a partnership, joint venture, agency (except as a non-binding introducer referrer), employment, franchise, or business opportunity under US FTC rules.
Severability: if a provision is unenforceable, the remainder continues to apply to the extent permitted; the unenforceable provision is replaced with an enforceable provision that reflects the parties' intent to the greatest permissible extent.
No waiver: failure to enforce a provision does not waive the right to enforce it later.
Language: the English version prevails. Translations are provided for convenience only and do not override mandatory local-language requirements where they apply.
Notices: formal notices to the Publisher must be sent to contact@10seconds.io and, for notices requiring written acknowledgment, also to the registered office in Dubai. Notices to the Introducer may be sent to the email address on file in the dashboard.
