Commercial terms governing subscription purchases for the Ten-Seconds Software

Version 2026.3 — Effective March 2026

1. Seller

The Software is published and sold by the above entity under its licensed software publishing activities. These Terms of Sale govern all commercial transactions between the Seller and individual or business subscribers.

For B2B enterprise licensing (hosted deployment, white-label, site licence, or OEM arrangements), a separate commercial licence agreement applies. Contact us to discuss enterprise terms.

2. Products and Pricing

All prices are in USD and include applicable VAT at 5% where required. Prices are subject to change with 30 days' notice. Payment processing fees (card fees, cryptocurrency network fees) are borne by the purchaser.

3. Payment Methods

Ghost Protocol — USDT Cryptocurrency

Cryptocurrency payments are processed via CoinPayments. Upon initiating a Ghost Protocol subscription, you will receive a USDT TRC20 wallet address and a payment window. Blockchain confirmation activates your subscription automatically. Cryptocurrency transactions are irreversible; ensure you send the correct amount to the correct address before confirming.

Clear Trail — Credit / Debit Card

Card payments are processed securely by Stripe, Inc. through its hosted checkout interface. Your card data is handled exclusively by Stripe and is not transmitted to or stored by the Seller. A VAT invoice is automatically generated and available in your account under "My Invoices."

B2B Enterprise / Invoice

Enterprise clients may request payment by bank transfer against a commercial invoice. Contact us to discuss terms.

4. VAT and Tax

Subscriptions include 5% VAT where applicable. The Seller is registered in the Meydan Free Zone, Dubai, UAE. VAT treatment may vary depending on the purchaser's jurisdiction. EU business customers with a valid VAT number may contact us to discuss applicable treatment. Individual consumers in the EU should note that digital service VAT rules may apply.

5. Subscription Activation

Individual subscriptions are activated immediately upon confirmed payment. The subscription period runs from the activation date. Access is provided for the duration specified in the chosen plan.

6. Refund and Withdrawal Policy

Due to the immediately-delivered digital nature of the Software access:

• Subscriptions are non-refundable after activation, unless mandatory consumer law in your jurisdiction provides otherwise.
• EU consumers: You have a statutory 14-day right of withdrawal from the date of purchase. However, by completing your purchase and consenting to immediate activation of the digital service, you expressly waive this right of withdrawal in accordance with Article 16(m) of EU Directive 2011/83/EU on consumer rights. Your waiver is recorded in our consent system.
• If you have purchased but not yet activated a subscription (i.e., you have not logged in following payment confirmation), you may request cancellation and a full refund within 14 days by contacting us.
• Subscriptions cancelled after activation are not refunded for the remaining period.

7. Subscription Renewal

Subscriptions are not automatically renewed. Manual renewal is required on expiry. Where an email address has been provided, a reminder will be sent before expiry.

8. Invoicing

Electronic invoices are automatically generated for all paid transactions and are accessible in your account under "My Invoices." All invoices are issued by Sterling and Pierce Holding L.L.C-FZ. For Clear Trail subscribers, your name, address, and email are required for invoice generation and are stored for 10 years in accordance with accounting obligations.

9. Mandatory Acceptance

Payment is conditional on prior explicit acceptance of these Terms of Sale and the Terms of Service. Both documents must be accepted before any payment can be processed. Acceptance is recorded with a timestamp, document version, IP address, and user-agent at the time of the transaction.

10. Dispute Resolution

Payment disputes should be directed to contact@sterlingandpierce.com. We will respond within 14 business days. Unresolved disputes may be escalated through your payment processor's dispute mechanism or before the competent court as specified in Section 11.

11. Governing Law

These Terms of Sale are governed by the laws of the UAE and Meydan Free Zone regulations. EU consumers retain all statutory rights under applicable EU consumer protection legislation. Disputes shall be submitted to the Dubai Courts, or to the competent court of the consumer's jurisdiction for mandatory consumer matters.
